Terms of Use.

These Terms of Use (“Terms”) govern your access to and use of educatedguess.org (the “Site”), operated by Educated Guess Ventures, LLC, a Florida limited liability company (“EGV,” “we,” “us”), including content, downloads, and tools made available through the Site. EdTech Growth is a DBA of Educated Guess Ventures, LLC. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. The Site Is Informational
The Site describes our practices, research, frameworks, and portfolio. Content on the Site — including articles, playbooks, frameworks, benchmarks, and analyses — is provided for general informational purposes only. It is not, and should not be relied upon as, legal, tax, accounting, financial, investment, or other professional advice, and it does not account for your specific circumstances. You should consult qualified professionals before acting on anything you read here.
2. No Client or Advisory Relationship
Using the Site, downloading materials, subscribing to communications, submitting a form, or scheduling a conversation does not create a client, advisory, fiduciary, or engagement relationship with EGV. An engagement with EGV is formed only by a written agreement signed by both parties. Information you submit through the Site before an engagement exists is not treated as confidential (see Section 8), so do not submit trade secrets or sensitive information through Site forms.
3. No Offer of Securities; Investment Activity
EGV invests capital for its own account in its own ventures. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or investment, in any jurisdiction, and nothing on the Site constitutes investment advice or a recommendation regarding any security, company, or transaction. Descriptions of portfolio companies and past exits are historical information about EGV’s own activities; past performance is not indicative of future results.
4. Results and Case Studies
Case studies, client results, and portfolio outcomes describe specific situations. They are illustrative, not typical, and are not a promise or guarantee of outcomes for any other organization. Your results will depend on your circumstances, execution, and factors outside anyone’s control.
5. Intellectual Property
The Site and its content — text, frameworks, methodologies, playbooks, graphics, logos, page designs, and compilations — are owned by EGV or its licensors and are protected by copyright, trademark, and other laws. “Educated Guess Ventures,” “EdTech Growth,” the owl logo, and the names of our frameworks and playbooks are trademarks or service marks of EGV (whether or not registered). Except as stated in Section 6, no license is granted to you, and you may not copy, republish, distribute, create derivative works from, scrape, or commercially exploit Site content without our prior written permission.
6. License for Downloads
When you download a playbook or other gated material, EGV grants you a limited, non-exclusive, non-transferable, revocable license to use it for your own internal business or personal evaluation purposes. You may not resell it, republish it, remove attributions from it, use it to provide services to third parties, or use it to train or fine-tune machine-learning models. All rights not expressly granted are reserved.
7. Acceptable Use
You agree not to: (a) use the Site in violation of law; (b) interfere with or disrupt the Site, probe or test its security, or attempt to access non-public areas or systems; (c) use bots, scrapers, or automated means to access the Site except ordinary search-engine indexing consistent with our robots.txt; (d) misrepresent your identity or affiliation in submissions; (e) upload malicious code; or (f) frame or mirror the Site. We may suspend or block access for violations.
8. Your Submissions
If you submit information through forms, scheduling tools, or email (such as your name, organization, and a description of your needs), you represent it is accurate and you are authorized to share it. Ideas, feedback, or suggestions you volunteer about our business or content may be used by EGV without restriction or compensation. Personal information in submissions is handled per our Privacy Policy.
9. AI-Assisted Content
Some Site content is researched and drafted with the assistance of EGV’s internal AI systems and is reviewed and edited by the named human author before publication, as disclosed on the relevant pages. Despite our editorial and source-verification processes, content may contain errors or become outdated; statistics reflect their cited sources as of the dates indicated. We do not warrant the completeness or accuracy of any content.
10. Third-Party Sites and Tools
The Site links to third-party websites and embeds third-party tools (for example, scheduling). Those are governed by their own terms and privacy policies. We do not control and are not responsible for third-party sites, tools, or content, and a link is not an endorsement.
11. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EGV AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EGV’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW. THIS SECTION DOES NOT APPLY TO ANY SIGNED ENGAGEMENT AGREEMENT, WHICH GOVERNS ITS OWN LIABILITY TERMS.
13. Indemnification
You agree to defend, indemnify, and hold harmless EGV from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Site or its content.
14. Governing Law; Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Sarasota County, Florida, and you consent to their jurisdiction and venue. Each party waives any right to a jury trial to the extent permitted by law.
15. Changes; Termination
We may update these Terms by posting a revised version with a new Effective Date; continued use after posting constitutes acceptance. We may modify, suspend, or discontinue any part of the Site at any time. Sections that by their nature should survive (including 5, 8, and 11–14) survive termination.
16. General
These Terms, together with the Privacy Policy, are the entire agreement between you and EGV regarding Site use. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a reorganization, merger, or sale.
